These Terms of Use ("Terms") form a binding agreement between you ("you" or "User") and WildCat Labs LLC, a Florida limited liability company ("WildCat Labs," "we," "us," or "our"), governing your access to and use of the website located at wildcat-labs.com, any subdomains, and any related content, tools, prototypes, communications, or services we make available (together, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not access or use the Services.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract under applicable law to use the Services. By using the Services, you represent and warrant that you meet these requirements and that, if you are using the Services on behalf of an organization, you have the authority to bind that organization to these Terms.

We may modify these Terms at any time. When we do, we will update the "Effective" date above and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

The Services, including all text, graphics, logos, marks, designs, software, code, prototypes, research, documentation, and other content (the "Content"), are owned by WildCat Labs or its licensors and are protected by copyright, trademark, and other intellectual property laws. "WildCat Labs" and associated logos are trademarks of WildCat Labs LLC.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Content for your personal or internal business evaluation of the Services. No other rights are granted, by implication, estoppel, or otherwise. All rights not expressly granted are reserved.

5. User Submissions and Feedback

If you send us inquiries, ideas, suggestions, or other feedback regarding the Services ("Feedback"), you grant WildCat Labs a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, sublicensable, and transferable license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose, without obligation or compensation to you. You represent that you have all rights necessary to grant this license and that your Feedback does not violate any third-party right.

6. Third-Party Links and Services

The Services may contain links to third-party websites, products, or services that we do not own or control. We are not responsible for the content, policies, or practices of any third party. Your interactions with third parties are solely between you and that third party.

7. Confidentiality of Prototypes and Engagements

Certain materials on the Services, including pilot work, prototypes, and research shared during prospective or active engagements, may be provided to you on a confidential basis. You agree to treat any such materials marked or reasonably understood to be confidential with the same degree of care you use to protect your own confidential information (and in no event less than reasonable care), and not to use or disclose them except as authorized by us in writing.

8. Disclaimers

The Services and all Content are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, WildCat Labs disclaims all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, secure, error-free, or that any defects will be corrected. Any reliance you place on the Services or any Content is at your own risk.

9. Limitation of Liability

To the fullest extent permitted by law, in no event will WildCat Labs, its affiliates, or any of their officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, business, or goodwill, arising out of or in connection with your access to or use of (or inability to access or use) the Services, even if advised of the possibility of such damages.

In no event will WildCat Labs' aggregate liability for any claims arising out of or relating to the Services or these Terms exceed one hundred U.S. dollars (US $100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless WildCat Labs and its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your violation of these Terms, or (c) your violation of any law or third-party right.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause and with or without notice. Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and governing law) will survive.

12. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to Section 13, you and WildCat Labs agree that the state and federal courts located in Pinellas County, Florida will have exclusive jurisdiction over any dispute, action, or proceeding arising out of or relating to these Terms or the Services, and you consent to the personal jurisdiction of those courts.

13. Dispute Resolution; Class-Action Waiver

The parties will attempt to resolve any dispute arising out of or relating to these Terms informally by contacting the other party in writing. If the dispute is not resolved within thirty (30) days, either party may pursue the dispute in the courts identified in Section 12.

To the fullest extent permitted by law, you and WildCat Labs agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

14. Miscellaneous

These Terms, together with the Privacy Policy and any other notices or agreements published by us through the Services, constitute the entire agreement between you and WildCat Labs regarding the Services and supersede any prior agreements on that subject. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these Terms without our prior written consent; we may assign them without restriction.
